KinectB2B ("we," "us," or "our") provides B2B prospect research, contact verification, and automated outreach services to service-based businesses ("Client" or "you"). Our platform identifies qualified prospects within your designated service territory, builds verified contact lists, and executes professional email outreach campaigns on your behalf.
2.1 VIP-Tier Exclusivity. Clients subscribed to the VIP tier are granted territory exclusivity for the duration of their active VIP subscription. Specifically, KinectB2B will not knowingly accept a new Subscriber who operates as a direct competitor to the VIP Client within the VIP Client's declared service territory.
2.2 Definition of Direct Competitor. For the purposes of Section 2.1, a "direct competitor" of the VIP Client means a business that (a) operates in the same industry as the VIP Client, as that industry is canonically classified in KinectB2B's onboarding system, and (b) declares a service territory that overlaps with the VIP Client's service territory by at least one named city or postal code.
2.3 Existing Relationships. Exclusivity under Section 2.1 applies prospectively from the date the VIP Client's VIP-tier subscription becomes active. KinectB2B is under no obligation to terminate or modify subscriptions with other Clients (regardless of tier) that pre-date the VIP Client's VIP activation, including Clients whose subscription would otherwise constitute a direct competitor relationship.
2.4 Tier Limitation. Subscribers to the Starter, Growth, and Scale tiers are not granted any form of territory exclusivity. KinectB2B may serve multiple Subscribers in the same industry and service territory at any tier other than VIP.
2.5 Termination of Exclusivity. Exclusivity rights under this Section terminate automatically upon any of the following: (a) downgrade from the VIP tier, (b) cancellation of the subscription, (c) suspension or termination for non-payment or breach, or (d) expiration of any agreed-upon exclusivity term.
Subscription fees are billed monthly in advance on the anniversary of your subscription start date. All fees are quoted in U.S. dollars. Payment is processed via Stripe. You authorize us to charge your designated payment method for all applicable fees.
Either party may cancel the subscription with 30 days' written notice. Notice may be provided via email to accounts@kinectb2b.com or through your client portal. Upon cancellation:
If your campaign completes its first 90 days of continuous active outreach and you receive zero replies from prospects during that period, you may request a full refund of the subscription fees paid for those 90 days. For purposes of this section, a reply means any human-generated response from a prospect contacted through your campaign, regardless of its content. Automated responses, out-of-office messages, and delivery failures do not count as replies.
To qualify for a refund under this guarantee: (a) you must have completed onboarding and provided the information reasonably required to launch your campaign, (b) your campaign must have run continuously during the 90-day period without pause at your request, and (c) your refund request must be submitted to accounts@kinectb2b.com within 14 days after the 90-day period ends. Refunds under this section are limited to subscription fees actually paid for the 90-day period and are your exclusive remedy under this guarantee. This guarantee applies to all subscription tiers and to your first 90 days of service only.
Prospect data generated through our service on your behalf belongs to you. Upon request or cancellation, we will provide a complete export of your prospect data in a standard format (CSV).
KinectB2B retains the right to use anonymized, aggregated data derived from campaign performance (e.g., open rates, reply rates, industry benchmarks) to improve our services. No personally identifiable information about your prospects will be shared with third parties or other clients.
While we are committed to delivering the highest quality outreach and prospect research services, we do not guarantee specific results, including but not limited to a minimum number of prospects, appointments, or revenue outcomes. Campaign performance depends on many factors including your industry, territory, offer, and market conditions. Our 90-Day Response Guarantee (Section 5) is the sole exception: if your campaign generates zero prospect replies in its first 90 days, you are entitled to a full refund as described in that section.
We commit to best-effort execution, continuous optimization, and transparent reporting of campaign performance. If results are below expectations, we will work with you to adjust targeting, messaging, and strategy at no additional cost.

To the maximum extent permitted by law, KinectB2B's total liability arising from or related to these terms or the services shall not exceed the total fees paid by you in the three months immediately preceding the event giving rise to the claim.
In no event shall KinectB2B be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of the theory of liability.
We reserve the right to update these Terms of Service at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
